1. General provisions
These Terms of Use (“Terms”) govern the use of the Diney restaurant ordering platform at app.diney.eu and the Diney website at diney.eu (together, the “Service”). The Service is operated by 89 OÜ, registry code 12845820, Madara tn 31, 10613 Tallinn, Estonia (“Diney”).
By creating an account or otherwise using the Service you agree to these Terms. If you do not agree, please do not use the Service.
2. The Service
Diney enables restaurant customers to browse menus via a QR code, place orders and pay online or on-site, and provides restaurants with tools to manage menus, orders and payments. Diney is a technology platform: we do not prepare food, sell products or provide restaurant services ourselves.
3. Account
- To use certain features you must create an account and provide accurate, up-to-date data.
- You must keep your login credentials confidential and are responsible for all activity under your account.
- You must have active legal capacity to use the Service.
4. Orders and payments
- You place orders directly with the restaurant through the Service. An order becomes binding when the restaurant confirms it.
- Prices are set and displayed by the restaurant and include VAT where applicable.
- Online payments are processed by payment service providers (Montonio, ComplyPay). By paying online you also accept the terms of the respective payment service provider.
- Orders are prepared and fulfilled by the restaurant.
5. Restaurant’s responsibility
The restaurant is responsible for the accuracy of its menu data and prices, the quality and safety of the food and drinks it serves, and the fulfilment of orders placed with it.
6. Fees
Using the Service is free for customers. Diney may charge restaurants a service fee under a separate agreement with the restaurant.
7. Intellectual property
All rights to the Service, including its software, design, trademarks and content, belong to Diney or its licensors. You may use the Service only for personal, non-commercial purposes in accordance with these Terms.
8. Prohibited use
You must not misuse the Service, in particular you must not:
- attempt to gain unauthorised access to the Service or its users’ data;
- interfere with the operation of the Service or overload its infrastructure;
- upload malicious code or unlawful content;
- use the Service for unlawful purposes or in violation of third-party rights.
9. Limitation of liability
The Service is provided “as is”. To the maximum extent permitted by law, Diney is not liable for indirect damages or for damages arising from the products, services or conduct of restaurants. The contract for food and drinks is concluded between you and the restaurant; Diney is not a party to that contract.
10. Termination
You may delete your account at any time. We may suspend or terminate an account that violates these Terms or harms the Service or other users.
11. Changes to the Terms
We may update these Terms and the Service from time to time. The current version of the Terms is always published at diney.eu/terms-of-use. Continued use of the Service after changes means you accept the updated Terms.
12. Applicable law and dispute resolution
These Terms are governed by the laws of the Republic of Estonia. Disputes arising from these Terms are settled by negotiation; if no agreement is reached, the dispute is resolved in court. Consumers may also refer disputes to the Estonian Consumer Protection and Technical Regulatory Authority (www.ttja.ee) or use the EU Online Dispute Resolution platform (ec.europa.eu/consumers/odr).
